1. Introduction & Acceptance
Welcome to Zen Lingo Lab ("Company," "we," "us," or "our"). We provide language teaching business solutions, including white-label platforms, done-for-you setups, and DIY templates (collectively, the "Services").
By accessing our website zenlingolab.com or using any of our Services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.
These Terms contain an arbitration agreement and class action waiver. By agreeing, you waive the right to a jury trial or to participate in a class action.
2. Definitions

3. Our Three Products
We offer three distinct products. Your rights and our obligations vary by product.
3.1 White-Label (WL)
- Setup Fee: $1,500 (one-time)
- Monthly Fee (Starter): $197/month (after first free month)
- Monthly Fee (Pro): $297/month (after first free month)
- Includes: Sub-account creation, master snapshot, teacher dashboard, communication hub, automated student onboarding, BI dashboard, white-label mobile app (Pro only), support
3.2 Done-for-You (DFY)
- Setup Fee: $1,200 (one-time)
- Monthly Fee (Starter): $197/month (after first free month)
- Monthly Fee (Pro): $297/month (after first free month)
- Includes: Sub-account creation, master snapshot, teacher dashboard, communication hub, automated student onboarding, BI dashboard, support (NO mobile app)
3.3 DIY Templates (DIY)
- Price: $197 (one-time)
- Monthly Fee: $0
- Includes: Downloadable templates (funnels, workflows, email/SMS copy, Loom videos, PDF guides)
- Does NOT include: Sub-account, support, live setup assistance, mobile app, communication hub, BI dashboard, onboarding automation
By purchasing DIY, you acknowledge that you will receive no live support and must install all templates yourself.
4. Payment Terms
4.1 One-Time Setup Fees
- WL: $1,500 due at checkout
- DFY: $1,200 due at checkout
- DIY: $197 due at checkout
All one-time fees are non-refundable except as expressly stated in Section 9.
4.2 Monthly Subscriptions (WL/DFY Only)
- Month 1: $0 (free trial)
- Month 2 onward (Starter): $197/month
- Month 2 onward (Pro): $297/month
- Subscriptions auto-renew monthly
- You may cancel at any time via your dashboard
- Cancellations take effect at the end of the current billing cycle
- No refunds for partial months
4.3 Payment Method
We use Stripe to process payments. By providing payment information, you authorize us to charge your selected payment method for all amounts due.
4.4 Failed Payments (WL/DFY Only)
If your monthly payment fails:
- We will attempt to retry after 3 days
- We will send SMS and email notifications
- Pro features will be downgraded to Starter after 7 days
- Your sub-account will be suspended after 30 days of non-payment
4.5 DIY Customers
DIY purchases are one-time. There are no recurring fees, but also no support, no updates, and no refunds (except as required by law).
5. Account & Sub-Account
5.1 WL/DFY Customers
Upon purchase, we will:
- Create a sub-account within our GHL Agency Unlimited account
- Apply our master snapshot to your sub-account
- Send login credentials to your email and SMS
You are responsible for:
- All activity that occurs in your sub-account
- Maintaining the security of your login credentials
- Complying with GHL's Terms of Service (as a sub-account user)
- All student data, payments, and communications within your sub-account
5.2 DIY Customers
We do not create a sub-account for DIY purchases. You receive downloadable templates only. You must install them in your own GHL account (which you must purchase separately).
5.3 No Transfer of GHL License
Your sub-account exists within our Agency Unlimited account. You do not own a separate GHL license. If you cancel your WL/DFY subscription, your sub-account will be suspended and eventually deleted.
6. Your Responsibilities & Prohibited Uses
6.1 You Agree Not To:
- Resell our snapshot: Do not copy or resell our GHL configuration
- Use for illegal activities: Including fraud, spam, harassment, or unlawful content
- Reverse engineer: Do not attempt to extract source code or bypass security
- Sub-license: DIY templates are for your use only; do not resell them
- Violate GHL's terms: Your sub-account must comply with GHL's Acceptable Use Policy
6.2 Student Data Responsibility
If you are a WL/DFY Teacher, you are a data controller for your students' personal information. We are a data processor. You must:
- Have your own privacy policy for your students
- Obtain consent where required
- Comply with all applicable privacy laws (GDPR, CCPA, etc.)
We are not liable for your failure to comply with privacy laws.
6.3 DIY Customers
You are solely responsible for:
- Installing templates correctly
- Configuring workflows, funnels, and integrations
- Complying with GHL's terms in your own account
- Any issues arising from your installation
7. Intellectual Property
7.1 What We Own
- The master snapshot (funnels, workflows, custom fields, pipelines)
- Email and SMS templates (copy and structure)
- Loom videos, PDF guides, and training materials
- The Zen Lingo Lab brand, logo, and website content
7.2 What You Own
- Your sub-account's custom content (your students, appointments, branding)
- Your modifications to the snapshot (but not the base snapshot itself)
7.3 DIY License
DIY Customers receive a non-exclusive, non-transferable, perpetual license to use the templates for their own business. You may not:
- Resell the templates
- Share them with non-paying parties
- Claim them as your own creation
8. Support & Service Levels
8.1 WL/DFY Customers

Support hours: Monday–Friday, 9 AM – 5 PM ET
Critical issues (system down, payments failing): 4-hour response target
8.2 DIY Customers
DIY Customers receive NO support. You agree that:
- You will not email, call, or message us for help
- You will watch the provided Loom videos and read the PDF guides
- If you need help, you must hire your own GHL freelancer
We reserve the right to ignore support requests from DIY customers.
9. Refund & Cancellation Policy
9.1 WL/DFY Customers
- First 7 days after setup fee payment: Full refund of setup fee (if no work has been started)
- After work has begun: No refund (we have invested labor)
- Monthly subscription: No refund for partial months
To request a refund, email hello@zenlingolab.com within 7 days of purchase.
9.2 DIY Customers
All DIY template sales are final. No refunds will be issued for:
- "I couldn't install it"
- "I didn't watch the videos"
- "I changed my mind"
- "I already have something similar"
Exception: Where required by applicable consumer protection laws.
9.3 How to Cancel (WL/DFY)
- Log into your teacher dashboard
- Navigate to Settings → Subscription
- Click Cancel Subscription
- Cancellation takes effect at the end of the current billing cycle
Upon cancellation, your sub-account will be suspended after 30 days and deleted after 90 days. Export your data before canceling.
10. Mobile App (White-Label Pro Only)
Available only to WL customers on the Pro tier ($297/month).
10.2 App Store Approval
We will submit your app to Apple App Store and Google Play Store. Approval is at the sole discretion of Apple and Google. We do not guarantee approval timelines or outcomes.
10.3 Customer Responsibility
You must provide:
- Apple Developer Organization account (not individual)
- Google Play Console account
- D-U-N-S number
- Privacy Policy and Terms URLs (hosted on your website)
10.4 App Updates
We provide one-click updates for the app while your Pro subscription is active. If you downgrade to Starter or cancel, app updates will cease, and the app may stop functioning.
11. Data & Privacy
Our handling of your personal information is governed by our Privacy Policy, available at zenlingolab.com/privacy. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.
11.2 Data Processing Agreement (DPA)
If you are a WL/DFY Customer and require a DPA under GDPR, email hello@zenlingolab.com. We will sign a standard DPA upon request.
11.3 Data Deletion
- WL/DFY Customers: Upon cancellation, your sub-account data is deleted after 90 days
- DIY Customers: We do not store your data (we only process your payment)
11.4 Supabase Sync (WL/DFY Only)
We sync your sub-account data to Supabase for analytics and BI dashboard functionality. This is described in our Privacy Policy. You may opt out of BI dashboard features by contacting support.
12. Third-Party Services
Our Services integrate with third-party platforms (GoHighLevel, Stripe, Supabase, Instantly.ai). You must accept their respective Terms. We are not responsible for the actions, errors, or outages of third-party services.
13. Disclaimer of Warranties
YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, error-free or uninterrupted operation, security, or reliability.
DIY Customers specifically acknowledge: Templates may require technical skill to install. We do not warrant that you will be able to install them successfully.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Zen Lingo Lab: Aggregate liability shall not exceed the total fees paid by you in the 6 months preceding the claim
- WL/DFY Customers: Maximum liability = $2,000
- DIY Customers: Maximum liability = $197 (the price you paid)
We are NOT liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, or data
- Business interruption
- Reputational harm
This limitation applies even if we have been advised of the possibility of such damages.
15. Indemnification
You agree to indemnify, defend, and hold harmless Zen Lingo Lab, its affiliates, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our Services, your violation of these Terms, your violation of any third-party rights, your students' data or actions, or your DIY installation failures.
16. Term & Termination
16.1 Term
These Terms remain in effect while you use our Services or maintain an account with us.
16.2 Termination by You (WL/DFY)
You may cancel your subscription at any time via your dashboard. Your sub-account will remain active until the end of your paid billing cycle, then be suspended.
16.3 Termination by Us
We may suspend or terminate your access immediately if:
- You violate these Terms
- Your payment fails and remains unpaid for 30+ days
- We believe your use poses a security risk
- Required by law
17. Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
Any dispute arising from these Terms or our Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
You agree to arbitrate individually. You waive the right to participate in a class action, class arbitration, or representative action.
Either party may bring an individual action in small claims court (if within jurisdiction) instead of arbitration.
You may opt out of arbitration within 30 days of your first purchase by emailing hello@zenlingolab.com with your name and clear statement that you opt out.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
18. Changes to These Terms
We may update these Terms from time to time. Minor changes will be posted to the website. Material changes will be communicated via email and website notice. If you do not agree to material changes, you may cancel your subscription within 30 days of notice for a pro-rated refund.
19. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zen Lingo Lab.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce a right does not waive that right.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
